PRESS RELEASE

July 20, 2009 " San Francisco, Calif. — OPSWAT, Inc., the leading provider of development tools that power software application manageability, today announced its intent to acquire Metadefender, a privately-held company that has created a toolkit enabling software developers to integrate various antivirus engines into applications for real time scanning.

As part of the acquisition, the Metadefender technology will be integrated with OPSWAT'S Metascan, an advanced engine that allows IT professionals and software engineers to integrate multiple anti-malware scanning technologies into their proprietary solutions. The current version of Metascan obtains scan results from seven built-in antivirus engines from AVG, CA, ESET, Norman, Sunbelt, VirusBuster and ClamWin and is managed under one single interface; the fully-integrated application will incorporate two additional antivirus engines from Metadefender and will be offered under the OPSWAT brand as Metascan Ultra. "As the IT need for embedding security solutions in the fabric of the infrastructure becomes an increasing necessity due to the growing number of Internet-based threats, so does the ability to manage these solutions in an efficient manner," said Eric Ogren, founder and principal analyst at the Ogren Group. "OPSWAT, Inc.'s Metascan technology provides the capability to bolt anti-malware scanning engines directly onto third-party software. Together with OESIS application management features, the acquisition of Metadefender's technology nicely positions OPSWAT to provide a comprehensive, all-inclusive anti-malware scanning engine, benefiting vendors of secure products."

Under the terms of the agreement, OPSWAT will pay an undisclosed amount for all shares of Metadefender, as well as the rights to its technology. The acquisition is expected to close in Q3 2009. The first Metadefender antivirus engine, Quick Heal, will be integrated with OPSWAT's Metascan by Q4 2009, with additional engines planned for integration in 2010.

"The acquisition of Metadefender will take our business to the next level by enhancing our Metascan technology offering and adding to our current list of recognizable, market-leading customers," said Benny Czarny, President and CEO of OPSWAT, Inc. "Metadefender technology with Metascan will provide ISVs with a robust, all-inclusive scanning and monitoring engine, ensuring they are protected against the ever-growing landscape of malware and threats."
