Archer Technologies Acquires Brabeion Software

Archer will leverage Brabeion's content library to enhance its Policy Management solution

OVERLAND PARK, Kan., Jan. 27, 2009 - Archer Technologies, a provider of enterprise governance, risk and compliance (GRC) solutions, today announced that it has reached a definitive agreement to acquire Brabeion Software Corporation, a market-proven provider of IT-GRC management software. Financial details were not disclosed. The acquisition solidifies Archer's acknowledged IT-GRC industry leadership and will strengthen the company's ability to deliver outstanding enterprise GRC solutions. As an enterprise software innovator, Archer has helped more than one hundred highly-regulated Fortune 1000 companies reduce enterprise risks, manage and demonstrate compliance, automate business processes, and gain visibility into corporate risk and security controls.

With the acquisition, Archer will leverage Brabeion's industry-leading content library to further enhance its best-in-class Policy Management solution. Developed in cooperation with PriceWaterhouseCoopers, the Brabeion content will be added to Archer's GRC product line and significantly expand Archer's content offerings to now include more than 130 technical compliance baselines and controls. This acquisition also gives Archer immediate access to a diversified, blue chip customer base including 12 of the Forbes 350 and 15 Fortune 1000 clients.

"By acquiring another IT-GRC leader, Archer will further accelerate our market penetration and leadership. As part of our future growth strategy, Archer will actively and selectively seek additional strategic partnerships and acquisitions that enable customers to implement a best-in-class GRC program," said Jon Darbyshire, Archer President and CEO. "The timing for this deal is perfect. There is a growing and undeniable need for E-GRC solutions among the Fortune 1000 and Archer has a continued commitment to be a leader in the space."

Considered a leader in IT-GRC by top analyst firms, Archer delivers award-winning out-of-the-box solutions that are built on the highly flexible Archer SmartSuite Framework. Archer clients leverage the robust solution set as the foundation for a successful, holistic enterprise GRC program within the financial services, telecommunications, retail, media, technology and healthcare industries. With record profitable growth in 2008 and a strategic partnership with Bain Capital Ventures, Archer has created a solid foundation for successful expansion and market penetration.

As part of the acquisition, select Brabeion employees will join Archer including President and CEO, Julian Waits and Chief Compliance Strategist, Steve Schlarman, who join Archer's executive team. Archer will now have a greater east coast presence by expanding operations to Brabeion's Reston, Virginia headquarters. This location offers a strategic hub for Archer's professional services, client support, business development and sales teams with closer proximity to 40 percent of Archer's customer base.

"Archer has built a first-class organization through an unwavering and unmatched level of commitment to its clients and partners," said Waits, CEO and President of Brabeion. "We are pleased to join the Archer family and are confident that Brabeion customers will continue to receive the first-class attention, service and support that they have grown accustomed to. Most importantly, we are confident they will realize the value that Archer brings to their expanding GRC initiatives outside of IT." From a technology perspective, Brabeion's clients will be offered an upgrade path to Archer solutions that will provide support not only for existing Brabeion functions but also expanded capabilities and the ability to leverage Archer's robust software platform.
