PRESS RELEASE

HERNDON, VA – September 8, 2011 – Xceedium Inc., today announced its acquisition of the Cloakware password management business from Irdeto. The deal gives Xceedium the award-winning Cloakware Password Authority product; a marquis set of enterprise customers, including some of the largest global banking, financial services and telecom companies; and the engineering, support and sales teams associated with the business. The deal also includes a perpetual license to Irdeto’s patented white-box cryptographic libraries, critical technology used to make Password Authority the most secure and cloud-ready password management solution in the market.

Coincident with the deal, Xceedium announced the availability of Xceedium XsuiteTM a powerful, new integrated Privileged Access Management (PAM) solution resulting from the deal. Xsuite combines Xceedium’s GateKeeperTM access control and monitoring solution with Password Authority on a single hardened appliance, creating the most highly certified enterprise-class suite available.

“This strategic acquisition and the introduction of Xsuite make Xceedium a leading provider of Privileged Access Management solutions. We have seen very strong industry demand for an integrated access control and password management solution, and Irdeto’s Cloakware Password Authority was clearly the premier technology in the space,” said Glenn C. Hazard, CEO of Xceedium. “Xceedium is very well positioned to accelerate traction with commercial customers and cement its leadership position in government and critical infrastructure markets.”

The deal closed at a time when security threats from privileged insiders and trusted third parties are at an all-time high. The acquisition and the new Xsuite solution give corporate, government and critical infrastructure organizations new ability to safeguard important data from insider threats and to meet compliance requirements. According to research firm IDC, several factors bring the control of privileged users and application passwords to the forefront, including well-publicized incidents like Wikileaks, notable employee and third-party prosecutions, and elevated auditor scrutiny.

“We are seeing rapidly rising demand for solutions addressing insider threat. Products that tie together privileged access control with privileged user and application password management are in high demand due to increased need for meeting regulatory compliance. The combination of Xceedium’s GateKeeper with Irdeto’s Cloakware Password Authority in Xsuite should help customers address these issues,” said Sally Hudson, Research Director, IDC.

In order to support its expanding product set, Xceedium has opened a new research and development facility in Ottawa, Canada. Employees at this location will work closely with Xceedium’s research and development team in Jersey City, NJ.
